These terms and conditions apply to selling phones to UPGRADE on our website, effective as of September 1, 2023. If you are not a private individual, please contact us at info@UPGRADE.me.

 

Please read these terms carefully before selling your phone to UPGRADE. By filling in the sales form and selling your phone to UPGRADE, you agree to abide by UPGRADE’s terms.

 

1. Definitions

  • UPGRADE:
    Refers to UPGRADE Stores (Business ID: 201866), including the following branches:

    • Hyper One: Second floor, Al Sheikh Zayed, Giza.

    • City Stars: First floor, Phase 1, near Gates 4 and 5, Omar Ibn Al Khattab Street, Madinet Nasr, Cairo.

  • We: Refers to UPGRADE, Business ID 201866.

  • Our Website: Refers to UPGRADE’s official website: www.upgrade.me

  • You: Refers to the phone seller.

  • Terms and Conditions: Refers to the content of this page.

  • Business Day: Any day excluding Fridays, Saturdays, and official public holidays as announced by the Egyptian government.

  • Phone: Refers to the mobile phone being sold to UPGRADE.

 

2. The Seller

By selling your phone to UPGRADE, you agree to the following:

  • You are a private individual based in Egypt and legally capable of entering into a binding contract. 

 

  • You must provide us with your contact information, including your valid ID (Egyptian ID or a valid passport if you are a foreigner), an active telephone number, and an email address.

 

  • You are solely responsible for the accuracy of the information you provide UPGRADE and are liable for any costs caused by giving incorrect contact information.

 

  • You must be of the required legal age to sell and profit from the phone. You cannot sell your phone to UPGRADE if you are under legal age.

 

  • You grant UPGRADE full rights to investigate the phone for missing parts or damage, which may require UPGRADE experts to open the mobile phone physically.

 

  • Your data is stored in UPGRADE's customer register and used to maintain and manage customer relationships.

3. UPGRADE Selling Terms

A. Requirements for Selling Your Smartphone to UPGRADE

To sell your smartphone to UPGRADE, you must:

  • Follow the Process: Complete the "Sell" process on UPGRADE’s website, providing accurate information about your smartphone's brand, external condition, and technical specifications.

 

  • Sell Eligible Models Only: We accept only authentic Apple and Samsung smartphones and specific models listed on our website's "Sell" page.

 

  • Meet Quality Standards: Ensure your mobile phone meets our quality standards.

 

  • Data Removal: Erase all data from your phone. UPGRADE will not be responsible for any data left on the device. However, we perform professional data wiping using certified tools.

 

  • Disable Tracking Features: Turn off the "Find My iPhone" or "Find My Mobile" feature. UPGRADE reserves the right to reject the sale if this is not completed.

 

  • Cancellation Policy: You can revoke your offer by cancelling the order until you visit our store.

 

B. Steps After Submitting Your Sale Request

Once you submit your sale request, we will:

  • Provide an Estimated Price: An estimated price for your mobile phone will be provided on our website, assuming the phone matches your description.

 

  • Schedule a Store Visit: We will arrange a visit to our nearest store for an inspection. During this inspection, minor adjustments may be made, including:
    • Removing personal dedications, stickers, addresses, or protective coverings.
    • Removing shrink wrap, original packaging, and any additional accessories.
    • Adding a removable sticker (object ID) and removing protective films or embellishments.
    • Cleaning the device.

 

C. Sale Offer Validation

  • Seven-Day Validity: You have 7 days from submitting your sale request to visit our store with your mobile phone. After 7 days, UPGRADE may update the price at its sole discretion.

 

  • Price Validation: If your device's condition matches your description, our offer to buy it remains valid at the estimated price shown on our website.

 

  • Condition Mismatch: If the phone's actual condition differs from your description, we may withdraw the initial offer and propose an adjusted price based on the phone's condition.

 

  • Acceptance or Rejection: You have the right to accept or reject our adjusted offer.

 

D. UPGRADE's Right to Reject a Sale

UPGRADE reserves the right to reject your sale in cases of:

  • Suspicious Activity or Fraud
  • Device Defects: Including water damage, bending, or motherboard issues.
  • Blacklist Status: Phones reported stolen or lost.
  • MDM-Locked Devices: Devices managed by corporate security software.
  • Carrier-Locked Devices: Devices locked to a specific network operator.
  • Rooted or Modified Software/Firmware
  • Unauthorised Unlocking: Devices with unofficial unlocking of Google accounts, Samsung accounts, Apple IDs, or carrier locks.

 

E. Additional Terms for Multiple Devices

  • Separate Contracts: If you sell multiple mobile phones, we’ll prepare a separate purchase contract for each device.

 

  • Proof of Ownership: If you offer the same product multiple times, a large quantity from the same category, or an unusually high number of orders, UPGRADE may require proof of ownership before accepting your offer.

 

  • Counter-Offer and Classification as Commercial Customer: UPGRADE may present a new offer (counter-offer), reject the sale, or classify you as a commercial customer based on these terms.

 

4. Device Ownership And Declaration Form

  • The mobile phone ownership is immediately transferred to UPGRADE upon receiving your payment.
  • Once you accept our offer at our store, you must sign a declaration form confirming that you are the rightful owner of the phone, that it is in good working order, and that you have not reported it as lost or stolen.
  • Your name on the declaration form must be exactly the same as your ID.
  • Your ID must be valid.
  • You don’t have the right to request a cancellation after processing the payment.

 

5. Limitation of Liability

Nothing in these terms shall exclude or limit UPGRADE's liability concerning any matter for which it would be unlawful for us to limit or exclude our liability.

 

  • UPGRADE is not liable for any indirect costs that are a side effect of the loss of profit, opportunity, or damage.

 

  • UPGRADE is also not liable for failure to deliver products or meet any other obligations under these terms if such failure is due to force majeure events, including but not limited to an event that is beyond our reasonable control, such as fire, flood, storm, riot, civil disturbance, war, nuclear accident, terrorist activity, strikes, epidemics, or quarantine.

 

  • UPGRADE's maximum liability to you for any loss or damage arising in connection with the service shall be limited to the total price of the phone or your order. The product liability for defects is limited to the possible refund of the product value based on its condition when UPGRADE receives it.

 

6. Updates on Terms And Conditions

  • UPGRADE reserves the right to change or amend the terms and conditions without prior notice to you.
  • When you place your order, the latest version of the terms and conditions announced on the UPGRADE website will apply; please read them carefully.

 

7. Applicable Law and Dispute Resolution

  • These Terms and Conditions are governed by Egyptian law.
  • The relevant courts in Cairo (Egypt) shall exclusively handle any disputes.
